Equity Administrator Job at Instructure – 4.2 in Remote

Instructure is seeking an Equity Administrator.

What you will be doing:
Administer company’s global equity plans and ensure that all equity transactions are processed and settled timely and accurately

Manage company’s capitalization table and outstanding equity awards

Administer company’s global ESPP plan, including enrollment, contribution changes, purchase of shares, ESPP limits and refunds

Coordinate and provide adequate information and timely response related to equity transactions with Finance, HR, Tax and Payroll departments to ensure effective transaction processing

Coordinate with Legal to maintain opening and closing of the insider trading windows, access person listing and section 16 officers trade restrictions in the equity system

Maintain daily record-keeping of equity data and support to ensure SOX Compliance, internal and external auditing requirements

Reconcile and perform audit procedures relating to equity transactions monthly to ensure accuracy

Generate equity reports to support company’s SEC filings including Form 10-Q, 10-K and Proxy statement; and ad-hoc reports for Finance, Tax, HR and Legal

Work closely with legal to ensure timely filing of Section 16 reports (Form 3, 4 and 5)

Communicate to employees and resolve employee questions, issues or concerns related to the company’s equity programs

What you will need to know/have:
Minimum of 5 + years of stock administration role in a publicly traded U.S. company preferred

Certified Equity Professional (CEP) designation preferred

Proficient in Excel

Strong organization and communication skills

Detail-oriented with excellent analytical skill

Comprehensive knowledge of various types of equity awards and programs across multiple jurisdictions

Strong interpersonal skills, self-motivated and customer service oriented

Ability to work independently, manage multiple priorities in a fast-paced environment

Hands-on experience with outsourced equity platform preferred
